# Autarcho Worker End User Licence Agreement

**Version 1.0**

**Effective 21 October 2026**

This Agreement applies to the Autarcho worker software, container images,
installer, and accompanying documentation published at
<https://autarcho.com/workers/> (the "Software"). It is a legally binding
agreement between you ("you") and Autarcho ("Autarcho", "we", "us", "our").

## 1. Acceptance

You accept this Agreement by doing any of the following:

- clicking or selecting "I agree" in the installer;
- running the installer with `--accept-eula`;
- installing, copying, or using the Software.

If you do not accept this Agreement, do not install or use the Software.

You confirm that you are at least 18 years old and have the legal capacity to
enter into this Agreement. Autarcho offers the Software to individual consumers.
You act for yourself and not on behalf of any organisation.

## 2. Licence

Subject to this Agreement, we grant you a limited, non-exclusive,
non-transferable, revocable, royalty-free licence to install and run the Software
on hardware you own or control, solely to contribute inference compute to the
Autarcho network and receive any applicable payouts.

The Software is proprietary and is licensed, not sold. No source code, source
code access, or ownership right is granted. All rights not expressly granted in
this Agreement are reserved.

You must not:

- copy the Software except as necessary to install it or to keep one backup copy;
- sell, resell, sublicense, lease, rent, distribute, publish, or rebrand the
  Software;
- make the Software available to any third party as a hosted or managed service;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the
  source code, except to the extent that applicable law expressly permits it;
- remove, obscure, or alter any copyright, licence, or proprietary notice; or
- use the Software in a way that infringes our intellectual property rights or
  those of a third party.

We may provide updates, patches, or new releases. Those releases are part of the
Software and are governed by this Agreement or by the version of this Agreement
published with them.

## 3. Network participation

The Software connects to one or more Autarcho gateways, receives inference jobs,
runs supported GGUF models on your hardware, returns outputs, and submits
cryptographic receipts for verification.

We may change, suspend, or discontinue the network, the available models, job
allocation, supported hardware, payout rates, payout thresholds, or other
network terms for operational, security, legal, or business reasons. Where a
change is material, we will publish it on the worker page at least 14 days
before it takes effect, unless a shorter period is required by law, a regulator,
or an emergency security fix.

We do not guarantee that you will receive jobs, that any particular model will
remain available, or that you will earn any amount. Payouts are compensation for
verified work. They are not wages, salary, or a guaranteed income.

## 4. Payouts

Subject to verification, applicable law, and this Agreement, Autarcho pays for
verified work in USDC on Solana mainnet to the Solana address you provide.

The current payout terms are:

- 80% of the verified worker payment is paid to the worker and 20% to the
  Autarcho treasury;
- a new worker token account may require a minimum payout threshold of 2 USDC,
  with smaller verified balances carried into the next payout batch; and
- payouts are made in batches, not on a fixed schedule.

We may change the split, threshold, supported assets, or payout method in
accordance with Section 3. We may withhold, delay, or decline a payout where we
reasonably believe it is required by law, sanctions, a court or regulator, or
where the work, receipt, identity, or wallet is fraudulent, invalid, or linked to
prohibited activity.

You are responsible for:

- providing a correct Solana address and keeping control of your wallet and
  keys;
- any wallet, network, or transaction fees;
- any tax, reporting, or regulatory obligation arising from your participation;
  and
- any loss caused by an incorrect address, lost key, compromised wallet, or
  third-party wallet service.

We do not control your wallet and do not hold your private keys. We are not
responsible for transfers sent to an address you supplied incorrectly or for a
wallet you no longer control.

## 5. Your obligations

You are responsible for your worker, including its hardware, operating system,
network connection, electricity, storage, security, backups, and physical
environment. You must:

- keep the Software and your host reasonably updated and secured;
- protect your worker identity, data volume, wallet address, and any signing
  material;
- monitor your worker and respond to security incidents;
- comply with all laws and regulations applicable to you, including tax,
  anti-money-laundering, sanctions, export-control, privacy, and consumer laws;
- obtain any permission required from the owner of the hardware or network you
  use; and
- ensure that your use of the Software does not breach a contract or duty you
  owe to another person.

You are an independent individual. Nothing in this Agreement creates an
employment, agency, partnership, joint venture, or franchise relationship
between you and Autarcho. You have no authority to bind Autarcho.

## 6. Prompts, outputs, and data

The Software processes prompts and outputs on your hardware. Prompts may contain
personal data, confidential information, or material belonging to another
person. You may see prompts and outputs while a job runs.

You must:

- process prompts and outputs only to perform the work;
- keep them confidential;
- not retain them after the job is complete, except where retention is required
  by law;
- not disclose them to any third party;
- not use them to train, fine-tune, or improve any model, or for any purpose
  unrelated to the work;
- secure your systems against unauthorised access; and
- notify us promptly at `admin@autarcho.com` if you become aware of unauthorised
  access to, or disclosure of, prompts, outputs, or worker data.

You must use reasonable technical and organisational measures to meet these
obligations, including preventing prompts and outputs from being written to
logs, crash dumps, backups, or shared storage. Autarcho does not intentionally
log prompt content, but your operating system, container runtime, or monitoring
tools may capture it.

We process network data needed to operate the network, route jobs, verify work,
pay workers, prevent abuse, and comply with law. That data includes your wallet
address, PeerId, job metadata, receipts, and operational metrics. We do not
require your private keys.

## 7. Acceptable use

You must not use the Software, or the compute you contribute, to:

- violate any law or regulation;
- infringe any person's intellectual property, privacy, or other rights;
- create, distribute, or facilitate malware, fraud, phishing, or unauthorised
  access to a system;
- interfere with, disrupt, overload, or attempt to gain unauthorised access to
  the network, a gateway, a worker, or another person's system;
- evade sanctions, export controls, or other trade restrictions;
- misrepresent your identity, work, receipts, or wallet in order to obtain a
  payout to which you are not entitled;
- create or distribute child sexual abuse material;
- facilitate violence, terrorism, or other serious harm; or
- encourage or assist any person to do any of the above.

We may report suspected unlawful activity to the appropriate authorities and may
suspend or terminate your access in accordance with Section 9.

## 8. Sanctions and export controls

You represent and warrant that:

- you are not a person with whom we are legally prohibited from dealing under
  applicable sanctions laws, and you are not acting on behalf of such a person;
- you are not located in, ordinarily resident in, or organised under the laws of
  a country or territory subject to comprehensive sanctions that prohibit the
  provision of the Software to you; and
- you will not use the Software for a prohibited end-use, including a military,
  weapons, or sanctioned end-use.

The Software may be subject to export-control and sanctions laws, including
those of the United Kingdom, the European Union, and the United States. You must
comply with those laws and must not export, re-export, transfer, or make the
Software available in breach of them.

We may block access, refuse work, or withhold or delay a payout where we
reasonably believe it is necessary to comply with sanctions, export-control, or
other legal requirements. Where legally permitted, we will tell you the general
reason for a hold.

## 9. Suspension and termination

We may suspend or terminate your access to the Software or the network if:

- you breach this Agreement;
- we are required to do so by law, a court, a regulator, or a sanctions
  authority;
- your use poses a security, fraud, or legal risk to Autarcho, the network, or
  another person; or
- we discontinue the Software or the network.

Where practicable, we will give you notice and a reasonable opportunity to cure a
breach before terminating for that breach.

You may stop using the Software at any time by uninstalling it and disconnecting
your worker.

On termination, the licence ends immediately, and you must stop using the
Software and delete all copies you control, except for one copy retained solely
for legal or archival purposes. We will pay valid, verified amounts accrued
before termination, subject to this Agreement, applicable law, and any fraud or
sanctions hold. Sections 2, 4, 6, 8, 10, 11, 12, 14, and 15 survive termination.

## 10. Warranty

To the maximum extent permitted by law, the Software is provided "as is" and
"as available". We disclaim all express and implied warranties, including
warranties of merchantability, fitness for a particular purpose, title,
non-infringement, accuracy, and quiet enjoyment.

We do not warrant that the Software will be uninterrupted, error-free, secure, or
compatible with your hardware; that defects will be corrected; or that the
network will be available or will provide any particular job, result, or income.

Nothing in this Agreement excludes or limits any statutory right you have as a
consumer that cannot lawfully be excluded or limited.

## 11. Liability

To the maximum extent permitted by law, we are not liable for indirect,
incidental, special, consequential, exemplary, or punitive loss, or for loss of
profits, revenue, data, goodwill, digital assets, or business interruption,
arising out of or in connection with the Software or this Agreement, even if we
were advised of the possibility of that loss.

We are not liable for loss caused by your hardware, software, network,
electricity supply, wallet, keys, third-party services, or breach of this
Agreement.

Nothing in this Agreement excludes or limits our liability for:

- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation; or
- any liability that cannot lawfully be excluded or limited.

Subject to the exclusions in this Section, we do not impose a monetary cap on
our liability for direct loss under this Agreement.

You must take reasonable steps to mitigate any loss you suffer.

## 12. Indemnity

You will indemnify and hold harmless Autarcho against third-party claims, losses,
liabilities, damages, costs, and reasonable legal fees arising from:

- your unlawful use of the Software;
- your infringement of a third party's rights; or
- your violation of applicable law.

This obligation does not apply to the extent the claim or loss is caused by our
breach, negligence, or wilful misconduct. We will notify you promptly of a claim
and may participate in the defence. You may not settle a claim in a way that
admits liability for us without our written consent.

## 13. Changes to this Agreement

We may publish a new version of this Agreement for future releases of the
Software. The version in force is the version published with the release you are
installing or using.

If we make a material change, we will publish the new version and require you to
accept it before you use the new release. If you do not accept the new version,
you must stop using the new release. Your continued use after you accept the new
version constitutes agreement to it.

## 14. Governing law and disputes

This Agreement is governed by the laws of England and Wales.

We do not require arbitration, a class-action waiver, or an exclusive court.
Disputes may be brought in any court that has jurisdiction. If you are a consumer
resident outside England and Wales, you keep the benefit of any mandatory
protection and any right to bring proceedings in your local courts.

Before starting proceedings, you may contact us at `admin@autarcho.com` so that we
can try to resolve the issue. This does not prevent either party from taking
legal action.

## 15. General

**Entire agreement.** This Agreement is the entire agreement between you and
Autarcho about the Software and replaces any earlier understanding about its
subject matter.

**Severability.** If a provision is found unenforceable, it will be limited or
removed to the minimum extent necessary, and the remaining provisions will
continue in effect.

**No waiver.** A failure or delay in enforcing a provision is not a waiver of
that provision or any other provision.

**Assignment.** You may not assign or transfer this Agreement without our written
consent. We may assign this Agreement to an affiliate, successor, or purchaser of
the Autarcho network or its assets.

**Notices.** We may give notice through the worker page, the installer, the
Software, or any email address you provide. Legal notices to us must be sent to
`admin@autarcho.com`.

**Third-party rights.** No person other than you and Autarcho has a right to
enforce this Agreement.

**Language.** This Agreement is written in English. If it is translated, the
English version prevails to the extent permitted by law.
